Please Note: Contract reviews are issue-spotting reviews and plain-language summaries. They do not include redlining, drafting revisions, negotiation, or communication with the other party unless separately scoped.

Scaling Counsel

Please Note: Scaling Counsel is designed for straightforward small-business legal infrastructure. It does not include investor financing, securities advice, tax advice, employment-law compliance programs, complex licensing structures, multi-member ownership negotiations, franchise law, litigation, trademark prosecution, or negotiation with third parties unless separately scoped.

OUR CONTRACT TEMPLATE MENU

Each tier includes a set number of templates selected from the following:

Contract templates are customized for straightforward business use based on the information provided during intake. Some templates, including licensing, collaboration, revenue-sharing, or multi-party arrangements, may require additional scoping depending on complexity.


WHAT TO EXPECT

  • Every DML engagement begins with an intake session: a real conversation about your business goals, your structure, and what legal infrastructure you actually need.

  • After your intake session, you will receive your Business Legal Snapshot - your written record of everything we covered: your business goals, entity structure, formation checklist, cost breakdown, and next steps - so nothing gets lost in translation and you always know where you stand. The Business Legal Snapshot is a planning recap based on the information provided during intake; it is not a tax opinion, financial plan, compliance audit, or guarantee that every legal issue has been identified.

  • You will leave with something. Whether that is a completed operating agreement, a contract template you own and can use, a clear next step, or a referral to the right resource - you will not leave empty-handed.


GOOD TO KNOW

  • DML covers single-owner and straightforward business structures. Multi-member entities, complex ownership arrangements, investor financing, tax planning, employment-law compliance, regulated industries, or complex IP matters require a separate scope conversation.

  • Entity formation advisory is included. Filing Articles of Organization is always a separate add-on. State filing fees and New York publication costs are always the client’s responsibility.

  • DML includes preliminary brand-name and trademark issue spotting for business-planning purposes only. It does not include a trademark clearance search, registrability opinion, infringement opinion, USPTO application, office-action response, monitoring, enforcement, or litigation. If your business needs trademark clearance or registration support, we will identify that and provide a separate scope or referral.



ALREADY HAVE YOUR BUSINESS SET UP, BUT NEED A BUSINESS-RELATED CONTRACT REVIEWED?

Sometimes you just need to know what you are signing before you sign it. If your business is already running but a contract landed on your desk that needs a second set of eyes, we can handle that as a standalone service.

Good to Know

  • This service does not include contract drafting, redlining, negotiation on your behalf, communication with the other party, or contracts exceeding 15 pages.

  • Contracts involving licensing, equity, revenue sharing, employment, financing, data privacy, regulated industries, or unusual risk may require a higher fee or separate scope.
